1. Overview

This Use of Rights document sets out the rights and restrictions that apply to Agency Partners in connection with their use of the NurseCenter platform, its content, data, and technology. It supplements the Agency Terms & Conditions and forms part of the agreement between NurseCenter and the Agency.

2. Platform Licence

NurseCenter grants the Agency a limited, non-exclusive, non-transferable, revocable licence to access and use the Agency portal solely for the purpose of managing its caregiver pool, reviewing bookings, and monitoring payout data. This licence does not include the right to sublicence, copy, modify, or create derivative works based on the platform or any part thereof.

3. Intellectual Property

All intellectual property on the NurseCenter platform — including but not limited to the NurseCenter brand, logo, trademarks, software, design, text, graphics, and data compilations — is the sole property of NurseCenter or its licensors. The Agency acquires no ownership rights by virtue of its use of the platform. Any unauthorised use of NurseCenter's intellectual property is strictly prohibited and may result in legal action.

4. Agency-Submitted Content

By submitting information to NurseCenter — including agency name, registration number, contact details, and caregiver profiles — the Agency grants NurseCenter a worldwide, royalty-free, non-exclusive licence to use, store, display, and process that information for the purpose of operating and improving the platform. The Agency retains ownership of its submitted content but warrants that it has the right to submit such content and that it does not infringe the rights of any third party.

5. Data & Analytics

NurseCenter collects and processes data relating to Agency activity on the platform, including booking volumes, caregiver performance, payout amounts, and usage patterns. NurseCenter may use this data in anonymised or aggregated form for internal analytics, product improvement, and market research purposes. Individual caregiver and booking data will not be shared with third parties without consent, except as required by law or as set out in the Privacy Policy.

6. POPIA Compliance

NurseCenter processes all personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). The Agency, as a responsible party in its own right, must also ensure that its collection and use of personal information relating to caregivers and clients complies with POPIA. The Agency must not use personal information accessed through the NurseCenter platform for any purpose other than managing its caregiver pool and bookings on the platform.

7. Use of NurseCenter Branding

Agency Partners may state that they are "listed on NurseCenter" or "a NurseCenter Agency Partner" in their own marketing materials, provided such statements are accurate and not misleading. The Agency may not use the NurseCenter logo, name, or other brand assets in any manner without prior written approval from NurseCenter. NurseCenter may withdraw this permission at any time.

8. Prohibited Uses

The Agency must not: (a) attempt to reverse-engineer, decompile, or extract source code from the platform; (b) use automated tools (bots, scrapers) to access or extract data from the platform; (c) circumvent any security or access controls; (d) use platform data to build a competing product or service; (e) share access credentials with third parties; or (f) use the platform for any purpose that violates South African law or these terms.

9. Suspension of Rights

NurseCenter reserves the right to immediately suspend the Agency's access rights where there is a suspected breach of this policy, fraudulent activity, or any action that poses a risk to the platform or its users. NurseCenter will notify the Agency of the suspension and provide an opportunity to respond where it is safe and practical to do so.

10. Changes to This Policy

NurseCenter may update this Use of Rights policy periodically. Registered Agency Partners will be notified by email at least 14 days before material changes take effect. Continued use of the Agency portal after the effective date constitutes acceptance of the updated policy.
