Agency Terms & Conditions

Terms governing the NurseCenter Agency Partner programme and your use of the Agency portal.

1. Acceptance of Terms

By registering as an Agency Partner on the NurseCenter platform, you ("the Agency") agree to be bound by these Agency Terms & Conditions in addition to the general NurseCenter Terms & Conditions. If you do not agree to these terms, you must not register or use the Agency portal. These terms apply to all persons who access the platform on behalf of the Agency.

2. Agency Eligibility

To register as an Agency Partner, the Agency must: (a) be a legally registered business entity in the Republic of South Africa; (b) hold a valid company registration number issued by the Companies and Intellectual Property Commission (CIPC); (c) hold all necessary operational licences required to place nursing and caregiving staff; and (d) have appointed a responsible contact person who is authorised to bind the Agency to these terms.

3. Agency Account

Each Agency is permitted one account on the NurseCenter platform. Account credentials must not be shared with unauthorised parties. The Agency is responsible for all activities that occur under its account. NurseCenter reserves the right to suspend or terminate an account if it detects unauthorised access, a breach of these terms, or any activity that threatens the safety of the platform or its users.

4. Managing Your Nurse Pool

The Agency may invite registered NurseCenter caregivers to join its pool. By inviting a caregiver, the Agency confirms that it has a legitimate employment, labour-broking, or placement relationship with that individual and that the caregiver has consented to be listed under the Agency's account. A caregiver may only be associated with one Agency at a time on the platform. NurseCenter is not party to any employment or contractual relationship between the Agency and its caregivers.

5. Agency Verification

New Agency accounts are subject to a manual verification review by NurseCenter. Until verification is complete, the Agency portal will be accessible in a limited capacity. NurseCenter reserves the right to request supporting documentation — including company registration certificates, tax clearance certificates, and proof of identity of the authorised contact person — and to decline or revoke verification at any time for any reason.

6. Platform Commission & Payouts

NurseCenter charges a platform service commission of 17.5% on the total value of each booking completed by a caregiver in the Agency's pool. The remaining 82.5% constitutes the caregiver payout, which NurseCenter remits to the individual caregiver on the next scheduled weekly payout (every Friday). The Agency and its caregivers are responsible for agreeing and managing any commission split between themselves outside of the NurseCenter platform. NurseCenter is not responsible for disputes between an Agency and its caregivers regarding earnings.

7. Agency Obligations

The Agency agrees to: (a) ensure all caregivers in its pool hold valid professional registration (SANC, HPCSA, or equivalent); (b) ensure caregivers carry adequate professional indemnity insurance; (c) not misrepresent the qualifications, experience, or availability of any caregiver; (d) promptly remove caregivers from its pool who are no longer authorised to practice; (e) comply with all applicable South African labour laws, including the Labour Relations Act and the Basic Conditions of Employment Act; and (f) ensure caregivers comply with all NurseCenter platform policies.

8. Limitation of Liability

NurseCenter is a technology platform and is not a healthcare provider or staffing agency. To the maximum extent permitted by South African law, NurseCenter shall not be liable for any clinical outcomes, disputes between the Agency and caregivers, or any indirect or consequential losses arising from the use of the platform. The Agency indemnifies NurseCenter against all claims arising from the conduct of caregivers placed through its account.

9. Termination

Either party may terminate this agreement at any time with 30 days' written notice. NurseCenter may terminate immediately if the Agency breaches any of these terms, engages in fraudulent conduct, or causes harm to any user of the platform. Upon termination, all caregivers associated with the Agency account will be disassociated and will revert to independent caregiver status on the platform.

10. Governing Law

These Agency Terms are governed by the laws of the Republic of South Africa. Any disputes arising shall be subject to the exclusive jurisdiction of the South African courts. The parties agree to attempt to resolve disputes by negotiation before resorting to litigation.

11. Changes to These Terms

NurseCenter may update these Agency Terms from time to time. Registered Agency Partners will be notified by email at least 14 days before material changes take effect. Continued use of the Agency portal after the effective date constitutes acceptance of the revised terms.
